Commission, Event Publishing & Billing Terms

These Commission, Event Publishing & Billing Terms ("Billing Terms") govern the fees, commissions, event publishing charges, payment processing, payouts, billing practices, and financial obligations associated with the use of the Aiiplan platform ("Platform"). By creating, publishing, promoting, selling tickets for, managing, or participating in events through the Platform, you agree to these Billing Terms.

1. Overview

Aiiplan provides technology services that enable organizers, vendors, venues, service providers, and attendees to create, discover, manage, promote, and participate in events. Use of certain Platform features may result in fees, commissions, service charges, processing fees, or other charges as disclosed during the transaction process.

1a. Commission & Platform Fees

Aiiplan charges fees for certain services provided through the Platform. By publishing an event, selling tickets, accepting bookings, receiving payouts, or conducting transactions through the Platform, users agree to the applicable fees described below.

Free Events

For events that do not sell tickets through the Platform, Aiiplan may charge an Event Publishing Fee of up to $19.99 USD per published event. The Event Publishing Fee is charged when an event is submitted for publication and approved for listing on the Platform. Unless otherwise required by law, Event Publishing Fees are non-refundable once an event has been published.

For paid ticketed events, Aiiplan charges:

Vendor & Marketplace Commission

For vendor bookings, venue reservations, sponsorship transactions, service-provider transactions, and marketplace purchases processed through the Platform, Aiiplan may charge a commission ranging from 5% to 15% depending on:

Fee Allocation Options

Where permitted by law, organizers may elect to absorb Platform fees, pass Platform fees to attendees, or share fees between organizers and attendees. Available fee allocation options will be displayed during event setup.

Enterprise & Custom Pricing

Aiiplan may offer custom pricing agreements for enterprise customers, venues, sponsors, strategic partners, and large-scale event organizers. Such agreements may supersede the standard fee structure outlined in these Terms.

Fee Modifications

Aiiplan reserves the right to modify commissions, publishing fees, service fees, ticketing fees, and pricing programs. Updated pricing will be published on the Platform and will apply prospectively after any notice required by applicable law.

2. Commission

Aiiplan may offer one or more commission structures depending on event type, organizer category, subscription level, promotional programs, or other business arrangements. Commission structures may include percentage-based, flat-rate, per-ticket, event-based, vendor, and service-provider commissions. Applicable commissions will be disclosed before an event is published or transactions are processed.

3. Event Publishing Fees

Aiiplan may charge fees for publishing, promoting, featuring, advertising, or distributing events through the Platform. Publishing fees may vary based on event category, size, location, promotional features, visibility options, and organizer plans. Publishing fees are generally non-refundable once event publication has occurred unless otherwise required by law.

4. Organizer Service Fees

Aiiplan may charge organizers service fees associated with event creation, management, registration services, attendee management, check-in services, reporting tools, marketing features, and premium functionality. Service fees may be charged to organizers, attendees, or shared between both parties depending on event settings and applicable pricing structures.

5. Ticketing Fees

Ticket purchases may include Platform fees, ticketing fees, processing fees, service fees, taxes, and regulatory fees. Applicable fees will be displayed before purchase completion whenever required. Fees may vary based on event type, ticket category, location, payment method, and other factors.

6. Cancellation Procedures

Organizers are responsible for establishing and communicating event cancellation policies. If an event is canceled, refund obligations may apply, organizer payouts may be delayed, pending funds may be withheld, and additional verification may be required. Aiiplan reserves the right to review event cancellations to protect attendees and prevent fraud.

7. Upgrade Rules

Organizers may upgrade plans, features, promotional packages, or service levels where available. Upgrades may take effect immediately, generate additional charges, modify applicable fees, and adjust feature availability. Upgrade fees are generally non-refundable unless required by law.

8. Downgrade Rules

Organizers may downgrade plans or services where permitted. Downgrades may reduce available features, affect event visibility, limit access to premium tools, and take effect at a future billing period. Previously incurred fees remain payable.

9. Refund Policy

Refund eligibility depends on event policies, applicable laws, promotional terms, and transaction circumstances. Aiiplan reserves the right to review refund requests and investigate suspected abuse. Refunds may be denied where policies clearly prohibit refunds, fraud is suspected, services have already been delivered, or legal obligations do not require a refund.

10. Failed Payment Procedures

If a payment cannot be processed, Aiiplan may retry payment collection, request updated payment information, restrict account functionality, suspend publishing privileges, delay payouts, or cancel transactions. Users remain responsible for all outstanding balances.

11. Price Changes

Aiiplan may modify pricing, commissions, fees, service charges, promotional rates, or billing structures at any time. Reasonable notice may be provided when required by law. Continued use of the Platform after a pricing update constitutes acceptance of the revised pricing structure.

12. Payment Authorization

By providing payment information, users authorize Aiiplan and its payment processors to charge payment methods, verify payment information, process transactions, recover authorized charges, and collect applicable fees. Users represent that they are authorized to use the payment methods provided.

13. Chargebacks and Payment Disputes

Users agree to first contact Aiiplan regarding billing disputes before initiating chargebacks. Where a chargeback or payment dispute is initiated, Aiiplan may investigate the claim, request documentation, suspend transactions, restrict account access, and recover associated costs and fees. Fraudulent or abusive chargebacks may result in account termination.

14. Collection and Recovery Rights

Users remain responsible for all valid charges and obligations incurred through the Platform. If amounts remain unpaid, Aiiplan may pursue collection efforts, engage collection agencies, offset future payouts, recover legal costs where permitted, and exercise available legal remedies.

15. Taxes and Organizer Responsibilities

Organizers are solely responsible for tax reporting, tax collection obligations, sales taxes, income taxes, business licenses, and regulatory compliance. Aiiplan does not provide tax advice. Users should consult qualified tax professionals regarding their obligations.

16. Vendor and Organizer Payout Terms

Payouts may be subject to identity verification, fraud reviews, reserve requirements, payment processor rules, and compliance obligations. Aiiplan may delay, withhold, adjust, or suspend payouts where reasonably necessary to prevent fraud, resolve disputes, investigate chargebacks, comply with legal obligations, and protect Platform integrity. Payout schedules may vary by payment method, country, banking institution, and risk review requirements.

17. Third-Party Payment Processors

Payment services may be provided by independent third-party payment processors. Use of payment services may be subject to additional terms and privacy policies. Aiiplan is not responsible for banking delays, payment processor outages, third-party errors, processor policy decisions, or financial institution actions.

18. Account Suspension for Non-Payment

Aiiplan may suspend or restrict accounts for unpaid balances, repeated failed payments, chargeback abuse, billing violations, or fraud concerns. Suspension does not eliminate payment obligations.

19. Promotional Pricing and Discounts

Aiiplan may offer introductory pricing, promotional discounts, marketing incentives, limited-time offers, and coupon programs. Promotions may be modified, restricted, suspended, or terminated at any time unless prohibited by law. Promotional offers may not be combined unless expressly stated.

20. Right to Modify Billing Programs

Aiiplan reserves the right to create, modify, discontinue, or replace any fee structure, commission program, pricing plan, promotional offering, or billing feature. Such modifications may apply prospectively and become effective upon publication or notification as permitted by applicable law.

21. Limitation of Financial Liability

To the maximum extent permitted by law, Aiiplan shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from payment processing, billing disputes, transaction failures, or payout delays.
