Vendor Agreement

This Vendor Agreement ("Agreement") is entered into between Aiiplan ("Aiiplan," "we," "our," or "us") and the individual, business, organization, contractor, venue, sponsor, service provider, or vendor ("Vendor") using the Aiiplan platform ("Platform"). By registering as a Vendor, creating a Vendor profile, accepting bookings, offering services, or otherwise using the Platform, Vendor agrees to be legally bound by this Agreement.

1. Purpose

Aiiplan operates a technology marketplace that connects customers, event organizers, attendees, venues, sponsors, and vendors. Aiiplan does not employ Vendors and does not directly provide Vendor services. The Vendor is solely responsible for services offered through the Platform.

2. Vendor Eligibility Requirements

To participate as a Vendor, the Vendor must:

• Be at least eighteen (18) years of age.
• Have legal authority to operate a business or provide services.
• Maintain accurate account information.
• Comply with applicable laws and regulations.
• Successfully complete required verification procedures.
• Maintain all required licenses and permits.

Aiiplan may reject, suspend, or terminate Vendor participation at its sole discretion.

3. Business Information Requirements

Vendors must provide accurate and current business information, including where applicable: Legal Business Name, Business Address, Contact Information, Business Registration Information, Website Information, Professional Credentials, and Authorized Representative Information. Vendors are responsible for promptly updating any changes.

4. Licensing Requirements

Vendors must obtain and maintain all licenses, permits, certifications, approvals, and authorizations required by applicable law. Examples may include Business Licenses, Food Service Permits, Alcohol Permits, Professional Certifications, Event Service Licenses, and Venue Permits. Failure to maintain required licensing may result in immediate suspension.

5. Insurance Requirements

Aiiplan may require Vendors to maintain appropriate insurance coverage based on service category and risk level. Insurance requirements may include General Liability Insurance, Professional Liability Insurance, Commercial Auto Insurance, Workers' Compensation Insurance, and Event Insurance. Proof of insurance may be requested at any time.

6. Compliance Requirements

Vendors must comply with federal laws, state laws, local regulations, health and safety requirements, consumer protection laws, privacy laws, tax laws, and Platform policies. Vendors are solely responsible for legal compliance.

7. Tax Requirements

Vendors are solely responsible for income taxes, sales taxes, payroll taxes, tax reporting obligations, business tax filings, and regulatory filings. Aiiplan may require tax documentation, including W-9 forms, Taxpayer Identification Numbers, Employer Identification Numbers, and other legally required documentation. Failure to provide required tax information may delay or prevent payouts.

8. Service Standards

Vendors must provide services professionally, safely, and in accordance with industry standards. Vendors agree to deliver services as advertised, honor confirmed bookings, communicate promptly, maintain professional conduct, provide accurate pricing, and treat customers respectfully. Repeated service failures may result in account restrictions or termination.

9. Background Checks

Aiiplan may require Vendors, owners, employees, contractors, representatives, or personnel to complete background checks before participating in certain categories of services. Background checks may be conducted periodically and may include criminal history screening, identity verification, professional credential verification, and regulatory compliance reviews. Participation may be denied based on screening results where permitted by law.

10. Identity Verification

Aiiplan may require identity verification at any time. Verification methods may include government-issued identification, selfie verification, business verification, address verification, and tax verification. Failure to complete verification may result in account restrictions.

11. Payment Terms

Vendor payouts are subject to completed transactions, verification requirements, fraud reviews, chargeback reviews, and payment processor requirements. Aiiplan may delay, hold, adjust, or suspend payouts where reasonably necessary to prevent fraud, resolve disputes, comply with legal obligations, and protect Platform integrity. Payout schedules may vary by payment method and service category.

12. Commission Structure

By accepting bookings through the Platform, Vendors authorize Aiiplan to deduct applicable commissions and fees. Unless otherwise agreed in writing:

• Standard Vendor Commission: 5% to 15% of the transaction amount.
• Payment processing fees may apply.
• Promotional fees may apply where selected.

Applicable fees will be disclosed before transaction completion. Aiiplan reserves the right to modify commission structures with appropriate notice.

13. Cancellation Rules

Vendors are expected to honor confirmed bookings. If a Vendor cancels a confirmed booking, Aiiplan may issue customer refunds, restrict Platform access, delay payouts, reduce Vendor visibility, and suspend Vendor privileges. Repeated cancellations may result in permanent removal from the Platform.

14. Dispute Resolution Process

If a dispute arises between a Vendor and customer, Vendor and organizer, or Vendor and another Platform user, the parties should first attempt to resolve the dispute directly. Aiiplan may, but is not obligated to, review evidence, facilitate communications, assist with dispute resolution, and restrict transactions pending investigation. Aiiplan's decisions regarding Platform access and enforcement are final unless prohibited by law.

15. Independent Contractor Relationship

Vendors acknowledge and agree that they are independent contractors, not employees, agents, or representatives of Aiiplan, and are not entitled to employee benefits. Nothing in this Agreement creates employment relationships, partnerships, joint ventures, or agency relationships. Vendors remain solely responsible for their own business operations, personnel, taxes, insurance, and legal compliance.

16. Suspension and Termination

Aiiplan may suspend or terminate Vendor accounts for fraud, misconduct, licensing violations, repeated cancellations, policy violations, failure to maintain required documentation, and safety concerns.
