Service Provider Agreement

This Service Provider Agreement ("Agreement") is entered into between Aiiplan ("Aiiplan," "we," "our," or "us") and the individual or business entity providing services through the Aiiplan platform ("Service Provider"). By registering, accepting bookings, offering services, receiving payments, or otherwise participating on the Platform, the Service Provider agrees to be legally bound by this Agreement.

1. Purpose

Aiiplan operates a technology marketplace that connects customers, event organizers, vendors, venues, sponsors, attendees, and independent service providers. Aiiplan does not employ Service Providers and does not directly provide the services offered through the Platform. Service Providers are solely responsible for the services they perform.

2. Independent Contractor Relationship

The Service Provider acknowledges and agrees that they are an independent contractor and not an employee of Aiiplan. Nothing in this Agreement shall be interpreted as creating employment relationships, partnerships, joint ventures, agency relationships, franchise relationships, or representative relationships. Service Providers retain full control over how services are performed, subject to applicable laws and Platform requirements.

3. No Employment Relationship

Service Providers acknowledge that they are not entitled to employee wages, overtime compensation, workers' compensation benefits, unemployment benefits, health insurance, retirement benefits, paid leave, or employee benefit programs. Service Providers are solely responsible for their own business expenses and obligations.

4. Background Check Consent

Aiiplan may require Service Providers to complete background screening before accessing certain Platform features or accepting bookings. Background checks may include criminal history screening, identity verification reviews, credential verification, and regulatory compliance reviews. By using the Platform, the Service Provider authorizes Aiiplan and its authorized screening providers to conduct such reviews where permitted by law. Failure to complete required screening may result in account restrictions or removal.

5. Identity Verification

Service Providers must complete identity verification procedures when requested by Aiiplan. Verification methods may include government-issued identification, selfie verification, address verification, business verification, and tax verification. Aiiplan reserves the right to suspend or restrict accounts pending successful verification.

6. Tax Reporting and Documentation

Service Providers are solely responsible for federal, state, and local tax obligations, self-employment taxes, business tax filings, and regulatory reporting requirements. Aiiplan may require W-9 forms, Taxpayer Identification Numbers (TIN), Employer Identification Numbers (EIN), Social Security Numbers where legally required, and other tax documentation. Failure to provide required tax information may delay or prevent payouts.

7. 1099-NEC Reporting

Where required by applicable law, Aiiplan may issue IRS Form 1099-NEC or other tax reporting forms to eligible Service Providers. Service Providers acknowledge that tax forms may be issued based on payment activity, that accurate tax information must be maintained, that they are responsible for reviewing all tax documents, and that they remain responsible for reporting income and meeting tax obligations. Aiiplan does not provide tax, accounting, or legal advice.

8. Compliance With Laws

Service Providers must comply with all applicable federal, state, and local laws, licensing requirements, industry regulations, health and safety requirements, and consumer protection laws. Service Providers are solely responsible for maintaining compliance.

9. Professional Conduct Standards

Service Providers agree to conduct business professionally, treat customers respectfully, provide services as advertised, communicate honestly, maintain appropriate behavior, and deliver services safely and responsibly. Service Providers may not engage in harassment, discrimination, fraud, threatening conduct, illegal activity, or misrepresentation. Violations may result in suspension or termination.

10. Insurance Requirements

Depending on the service category, Aiiplan may require Service Providers to maintain insurance coverage. Examples include General Liability Insurance, Professional Liability Insurance, Commercial Auto Insurance, Event Insurance, and Workers' Compensation Insurance where applicable. Proof of insurance may be requested at any time.

11. Payment Terms

Service Providers authorize Aiiplan to process transactions and deduct applicable fees before payouts are issued. Payments may be adjusted for Platform commissions, payment processing fees, refunds, chargebacks, taxes where required by law, and fraud prevention reserves. Service Providers agree that payout amounts may differ from gross transaction amounts.

12. Payout Schedule

Payouts are subject to identity verification, fraud review, chargeback review, payment processor requirements, and compliance requirements. Aiiplan may delay, hold, suspend, or adjust payouts where reasonably necessary to prevent fraud, investigate disputes, comply with legal obligations, and protect Platform integrity. Estimated payout schedules are not guaranteed.

13. Dispute Resolution

If a dispute arises involving a Service Provider, customer, organizer, vendor, or other Platform participant, the parties should first attempt to resolve the matter directly. Aiiplan may, but is not obligated to, review evidence, facilitate communications, assist with dispute resolution, and restrict transactions during investigations. Aiiplan's decisions regarding Platform access, account status, and policy enforcement shall be final unless otherwise required by law.

14. Suspension and Termination

Aiiplan may suspend, restrict, or terminate Service Provider accounts for fraud, policy violations, licensing violations, safety concerns, failure to complete verification, failure to maintain required documentation, and repeated customer complaints. Termination does not eliminate outstanding obligations.

15. Limitation of Liability

To the maximum extent permitted by law, Aiiplan shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation on the Platform.
