Payment Terms

These Payment Terms ("Terms") govern all payments, billing, commissions, fees, refunds, chargebacks, payouts, and related financial transactions conducted through the Aiiplan platform ("Platform"). These Terms apply to event organizers, attendees, guests, vendors, service providers, sponsors, venues, contractors, businesses, and all other users who purchase, sell, receive, or process payments through the Platform. By using the Platform or participating in any financial transaction, you acknowledge and agree to these Payment Terms.

1. Platform Fees

Aiiplan may charge fees for access to certain Platform features, products, or services. Platform Fees may include, but are not limited to, Event Publishing Fees, Premium Listing Fees, Featured Event Promotions, Advertising Services, Administrative Fees, Premium Platform Features, and Marketplace Access Fees. Applicable Platform Fees will be disclosed before a transaction is completed. Unless otherwise required by law, Platform Fees are generally non-refundable once the applicable service has been provided.

2. Service Fees

Aiiplan may charge Service Fees for services facilitated through the Platform, including ticket purchases, event registrations, vendor bookings, service provider bookings, marketplace transactions, event management services, and premium features. Service Fees may be charged to attendees, organizers, vendors, service providers, or other users depending on the nature of the transaction.

3. Commission Fees

Aiiplan may retain commissions for transactions completed through the Platform. Unless otherwise agreed in writing:

Applicable commissions and fees will be disclosed before completion of the transaction. Aiiplan reserves the right to modify its commission structure upon reasonable notice and in accordance with applicable law.

4. Processing Fees

Payments processed through the Platform are facilitated by independent third-party payment processors. Processing fees may include credit card processing fees, debit card processing fees, ACH processing fees, digital wallet processing fees, payment gateway fees, and banking transaction fees. Applicable processing fees may be deducted before payouts are distributed. Aiiplan is not responsible for fees imposed by third-party payment processors or financial institutions.

5. Vendor and Service Provider Payouts

Vendor and Service Provider payouts are subject to identity verification, tax verification, background check requirements where applicable, fraud prevention reviews, chargeback investigations, compliance reviews, and payment processor requirements. Aiiplan reserves the right to delay, withhold, suspend, offset, adjust, or reverse payouts where reasonably necessary to prevent fraud or financial loss, investigate disputes, resolve chargebacks, comply with legal or regulatory obligations, and protect the integrity of the Platform. Payout schedules may vary depending on payment processor requirements and verification status.

6. Chargebacks

Users agree to contact Aiiplan before initiating a chargeback with their financial institution. If a chargeback is initiated, Aiiplan reserves the right to investigate the transaction, request supporting documentation, recover chargeback-related costs and fees, delay or suspend payouts, reverse previously credited funds where permitted by law, and restrict, suspend, or terminate accounts involved in fraudulent or abusive chargeback activity.

7. Refund Processing

Refund requests are governed by Aiiplan's Refund Policy and any applicable organizer, vendor, or Service Provider policies. Approved refunds will generally be returned to the original payment method used for the transaction. Refund processing times may vary depending on payment processors, financial institutions, and applicable laws. Certain fees may be non-refundable as disclosed in the Refund Policy or during the checkout process.

8. Tax Withholding

Aiiplan may withhold payments or payouts where required by applicable law or regulatory requirements. Withholding may occur in circumstances including failure to provide required tax information, incomplete identity verification, IRS backup withholding requirements, court orders or government directives, fraud prevention investigations, and other legal or regulatory compliance obligations. Any required withholding shall be deducted before funds are released to the applicable recipient.

9. Payment Authorization

By submitting payment information through the Platform, users authorize Aiiplan and its payment processors to verify payment methods, process authorized transactions, collect applicable fees and commissions, recover amounts lawfully owed, and conduct fraud prevention and security reviews. Users represent and warrant that they are authorized to use the payment methods provided.

10. Failed or Declined Payments

If a payment cannot be successfully completed, Aiiplan may retry the transaction, request an alternative payment method, suspend access to certain Platform features, delay event publication or payouts, cancel pending transactions, and recover outstanding balances through lawful means.

11. Changes to Payment Terms

Aiiplan may revise these Payment Terms from time to time to reflect changes in business practices, legal requirements, payment processing services, or Platform functionality. Updated Terms become effective upon publication on the Platform unless otherwise required by applicable law. Continued use of the Platform after the effective date constitutes acceptance of the revised Payment Terms.
